Job Summary:
We are seeking an experienced Legal Counsel to provide comprehensive legal support across corporate, commercial, regulatory, employment, and compliance matters. The role will be responsible for mitigating legal risks, drafting and negotiating contracts, ensuring regulatory compliance, and supporting business operations in Uzbekistan and cross-border transactions. Similar Legal Counsel roles in Tashkent commonly require expertise in corporate governance, commercial contracts, compliance, and stakeholder management.
Key Responsibilities:
- Provide legal advice on corporate, commercial, employment, and regulatory matters.
- Draft, review, negotiate, and manage commercial agreements, service contracts, NDAs, vendor agreements, and partnership contracts.
- Support corporate governance activities, including board resolutions, statutory filings, and company secretarial matters.
- Monitor changes in Uzbek legislation and advise business stakeholders on legal and regulatory implications.
- Identify, assess, and mitigate legal and compliance risks.
- Support dispute resolution, claims management, litigation, and arbitration matters.
- Liaise with external law firms, regulators, government authorities, and business partners.
- Conduct legal research and prepare legal opinions, memoranda, and risk assessments.
- Develop and implement internal policies, compliance procedures, and employee legal awareness training.
Requirements:
- Bachelor's Degree in Law (LLB); Master's Degree or LLM preferred.
- 5+ years of experience in a law firm or in-house legal department.
